These Terms of Service ("Terms") govern the relationship and responsibilities between The Future of Congo Inc. ("The Organization," "we," or "us"), a 501(c)(3) nonprofit organization, and any entity or individual who enters into a formal or informal partnership, collaboration, or co-fundraising agreement with The Organization ("Partner" or "you").
By agreeing to collaborate with The Organization, the Partner accepts and agrees to be bound by these Terms.
1. Mission Alignment and Purpose
Purpose of Partnership: The Partner agrees that the primary objective of the collaboration is solely to further The Organization's mission of empowering the next generation of Congolese leaders through education and resource development.
Ethical Conduct: All partnership activities must be conducted in an ethical, transparent, and legal manner, consistent with the values and reputation of The Future of Congo Inc.
2. Branding and Intellectual Property
Use of Organization Assets: The Partner must obtain prior written approval from The Organization for the use of its name, official logo, proprietary imagery, trademarks, or copyrighted materials (collectively, "Organization Assets") in any external communications, fundraising materials, or public statements.
Brand Standards: Approved Organization Assets must be used strictly in accordance with The Organization’s brand standards and guidelines.
Discontinuance: The Organization reserves the right to revoke permission for the use of its assets at any time, for any reason, with written notice.
3. Financial and Fundraising Responsibilities
Funds Handling: If the Partner is collecting or holding funds on behalf of The Organization, the Partner must establish and follow clear, auditable procedures for the immediate and accurate transfer of funds to The Organization.
Transparency and Reporting: Partners involved in joint fundraising must maintain meticulous records and provide The Organization with accurate and timely accounting of funds raised, funds transferred, and any related expenses.
No Contingent Fees: Unless explicitly approved in a separate written contract, the Partner shall not charge a percentage or contingent fee for funds raised on behalf of The Organization.
Tax Documentation: The Partner must ensure that all financial reporting related to the partnership is sufficient for The Organization to fulfill its own tax and regulatory obligations (e.g., issuing donor tax receipts and filing Form 990).
4. Legal Compliance and Liability
Partner's Compliance: The Partner is solely responsible for ensuring its activities, promotions, and operations related to the partnership comply with all applicable local, state, federal, and international laws, regulations, and reporting requirements.
Independent Liability: The Partner acknowledges that it is an independent entity and is responsible for its own debts, liabilities, obligations, and professional conduct.
No Endorsement: The Partner shall not state or imply that The Organization endorses or warrants the Partner’s non-partnership products, services, or independent business activities.
5. Termination
Termination by Notice: Either party may terminate the partnership relationship and these Terms upon providing thirty (30) days' written notice to the other party.
Immediate Termination: The Organization may terminate this partnership and these Terms immediately without prior notice if the Partner breaches any material term, engages in conduct detrimental to The Organization’s reputation, or violates any applicable law.
Survival: Sections 2, 3, 4, 5 (for accrued liability), and 6 shall survive any termination of the partnership.
6. Governing Law
These Terms shall be governed and construed in accordance with the laws of Arkansas, United States, without regard to its conflict of law provisions.
Our failure to enforce any right or provision of these Terms will not be considered a waiver of those rights. If any provision of these Terms is held to be invalid or unenforceable by a court, the remaining provisions of these Terms will remain in effect.
7. Changes to Terms
We reserve the right, at our sole discretion, to modify or replace these Terms at any time. If a revision is material, we will try to provide at least 30 days' notice prior to any new terms taking effect. What constitutes a material change will be determined at our sole discretion.
By continuing to access or use our Service after those revisions become effective, you agree to be bound by the revised terms. If you do not agree to the new terms, please stop using the Service.
